The company incorporation process for Romanian Citizens takes the following steps:
Preliminary phase:
- Preparing the necessary documents:
- Identity card/Passport copy – for the Shareholder(s)
- Identity card/Passport copy – for the Administrator(s)
- Copy for the Purchase and Sell Agreement for the apartment/house where the company’s registered office will be established (with owners’ ID papers)
- Choosing 3 alternatives for the name of the company
- Establishing the object of activity for the future company (primary and secondary)
Dossier preparation procedure:
- Achieving the name reservation from the Trade Register (maximum 24 h)
- Drawing up the Articles of Incorporation
- Presenting the Articles of Incorporation and the corresponding authorization to the bank for the opening of the share capital account, if necessary
- Drawing up the bailment agreement, if necessary
- Drawing up the Flat Owners’ Association Certificate, if necessary
- Drawing up the Neighbors’ Consent, if necessary
- Drawing up the Shareholder(s)’ Affidavit
- Drawing up the Administrator’s Affidavit
- Drawing up the Administrator’s specimen signature
- Drawing up the authorization for Trade Register representation
Trade Register dossier submission:
- Once filled in with all the necessary documents, the dossier is to be submitted for inspection to a Trade Register reviewer. After revision, taxes are to be paid to the Register, the dossier is to be registered and a date is to be scheduled for the lawsuit.
- The term for the hearing is usually 1 working day.
The presentation to the hearing:
- LOGISTICAL SUPPORT SERVICES’ employee, in virtue of a power of attorney will attend the hearing to present the case.
Paper release:
- Once the appointed judge admitted the case, the term for the release date is 1 working day.
